Voluntary public takeover offer by Vonovia likely not successful
Today, Deutsche Wohnen SE (“Deutsche Wohnen”) has been informed that the takeover offer by Vonovia SE (“Vonovia”) published on June 23, 2021 will likely not be successful. The minimum acceptance level of at least 50 percent of the Deutsche Wohnen shares issued at the time of the expiry of the acceptance period will not be reached according to the current estimate. Deutsche Wohnen has taken notice of the shareholder decision and will analyse the situation and the next steps accordingly.

A house free of domestic violence – Deutsche Wohnen supports poster campaign of the §25/11 project
Deutsche Wohnen is putting up posters in the entrance areas of its residential properties in Berlin to support the §25/11 campaign of the Catholic Women’s Social Service [Sozialdienst katholischer Frauen – SkF] and the PEIX Health Group. The aim of the campaign is to provide information about where women who are victims of domestic violence can get help. With the help of these posters, any women affected by domestic violence have quick and easy access to a helpline that they can use in an emergency. The posters also make it easier for relatives or neighbours to pass this information on to victims.

Siemensstadt Ring Estate: a beacon of Neues Bauen
Siemensstadt, on the eastern outskirts of the Berlin district of Spandau, is named after the Siemens factories which were built there in the early 20th century. The area saw increasing housing development in the decades that followed. New flats were being built there as recently as the 1970s. New exhibition at the GEHAG Forum with Mathias Hornung, Martin von Ostrowski and Konrad Sommer
Because of construction work in the building it was not possible to hold exhibitions here for a long time. And then came the Covid-19 pandemic, which at the time put paid to all the plans we had in the pipeline. However, despite this second lockdown, we have prepared a new exhibition which the public will be able to visit in compliance with whatever restrictions to combat the spread of the virus apply at the time.

Deutsche Wohnen makes a good start to the new financial year
Deutsche Wohnen can look back on a positive first quarter. The company continued its policy of investing in its holdings. Of key importance in this process are sustainability and an intensive dialogue with all stakeholders. As result of acquisitions, consolidated profit rose by 7.4% to EUR 111 million in comparison to the corresponding period of the previous year.

Executive Board and Supervisory Board of Deutsche Wohnen recommend shareholders to accept Vonovia offer
The Executive Board and Supervisory Board of Deutsche Wohnen SE ("Deutsche Wohnen") today published a joint statement on the voluntary public takeover offer by Vonovia SE ("Vonovia") pursuant to Section 27 of the German Securities Acquisition and Takeover Act (Wertpapiererwerbs- und Übernahmegesetz – WpÜG). In this statement, both parties come to the conclusion that the offer is in the best interest of Deutsche Wohnen, its shareholders, customers and employees, and therefore recommend shareholders to accept Vonovia’s offer. The Executive Board and Supervisory Board have independently examined and evaluated the conditions of the offer and also taken into account fairness opinions provided by five financial advisors. Both boards believe that the offer is fair and adequate and offers Deutsche Wohnen shareholders the opportunity for a secure, timely and fair realization of value.
